CreatorAuro Terms of Service

Effective date: 19 October 2026

Last updated: 19 October 2026

1. About these Terms

These Terms of Service (“Terms”) govern your access to and use of CreatorAuro’s websites, platform and related services, including our waitlist, support, research and marketing activities (collectively, the “Services”).

The Services are provided by Moonshot Ventures, LLC (“CreatorAuro,” “we,” “us” or “our”), a company registered in the United States. CreatorAuro is one platform serving Creators, Managers, Agencies and Brands. These Terms cover our US launch.

“You” means the individual using the Services and any organization on whose behalf that individual is authorized to act.

By accepting these Terms or accessing or using the Services where these Terms are presented as governing your use, you agree to these Terms. If you do not agree, do not use the Services.

Section 16 requires individual binding arbitration of certain disputes and includes a class-action waiver. Arbitration generally replaces a court trial before a judge or jury. You may opt out within 30 days after first accepting these Terms.

2. Eligibility and authority

You must be at least 18 years old and legally able to enter into these Terms.

If you use the Services for another person or organization, you represent that you have authority to act for them and accept these Terms on their behalf. You may access or manage their accounts, content or information only with the necessary permission.

3. Accounts and security

Some Services require an account. Provide accurate account information and promptly update it when necessary.

Protect your account, sign-in codes and access credentials. You are responsible for activity you authorize through your account, including activity by people to whom you give access.

Contact support@creatorauro.com promptly if you discover or suspect unauthorized access or misuse. We may reasonably verify your identity or authority before granting access or acting on sensitive account requests.

You must not misrepresent your identity, affiliation or authority, or use another person’s account without authorization.

4. CreatorAuro’s role

CreatorAuro provides software, intelligence and assistance. You remain responsible for your business agreements.

Using the Services does not appoint CreatorAuro as your manager or agent, make us a party to your agreements, or authorize us to bind you. We do not automatically guarantee payments or provide escrow services.

You are responsible for reviewing opportunities, counterparties, communications, proposed terms and commitments before acting. Agreements between you and other parties remain between those parties unless CreatorAuro expressly enters into a separate written agreement.

5. Ownership and permission to use the Services

CreatorAuro and its licensors retain ownership of the Services, including their software, designs, branding and other materials, excluding Your Content and materials owned by others.

Subject to your compliance with these Terms, we grant you limited, nonexclusive, nontransferable, nonsublicensable and revocable permission to use the Services for their intended lawful personal or business purposes.

You may not sell, rent, sublicense or commercially redistribute the Services themselves without our written permission. These Terms do not transfer ownership of our intellectual property to you.

CreatorAuro’s names, logos and other branding may not be used in a way that suggests our endorsement or affiliation without permission. Other trademarks remain the property of their respective owners.

6. Your Content

You retain ownership of the communications, documents, files and other materials you provide through the Services (“Your Content”).

You grant CreatorAuro limited, nonexclusive permission to process Your Content only as needed to provide the Services you request, subject to our Privacy Policy and applicable law. This includes necessary processing by service providers acting on our behalf.

This permission does not independently authorize marketing reuse or model training. It does not authorize us to publish private content or use your name, likeness or branding in promotional materials without separate permission.

You represent that you have the rights and permissions necessary to provide Your Content and request its processing. Your Content and your instructions must not unlawfully infringe another person’s rights.

This permission lasts only as needed to provide the requested Services and complete applicable retention or deletion processes. It does not create a perpetual right to use Your Content. Restrictions governing information obtained from connected services continue to apply.

We may remove or restrict content that violates these Terms or creates a legal or security risk. We do not undertake a general obligation to monitor all content.

7. Intelligence and AI-assisted features

The Services may include automated analysis, recommendations, generated content and other AI-assisted features.

These features may produce inaccurate, incomplete, outdated or unsuitable results. Review outputs before relying on them, sharing them or making commitments. They are not a substitute for your judgment or qualified legal, tax, financial or other professional advice.

You remain responsible for decisions and actions you authorize. These Terms alone do not authorize CreatorAuro to send communications, enter into agreements or take other external actions for you. Those actions require the authorization applicable to the relevant service.

We do not guarantee that generated outputs are unique or free of third-party rights. Our handling of personal information, including restrictions on AI use, is described in our Privacy Policy.

8. Connected services and third parties

The Services may connect to, link to or display information from third-party services.

You must have permission to connect the relevant accounts and information. Access is subject to the permissions you grant, applicable provider requirements and our Privacy Policy.

Third-party services have their own terms and privacy practices. We do not control or endorse their independent content, availability or conduct. Your agreements and dealings with third parties remain between you and those parties.

Third-party terms do not remove our responsibilities for our own Services or processing. Disconnecting a service does not necessarily delete information you previously chose to save with us. Our Privacy Policy explains retention and deletion.

9. Acceptable use

You must use the Services lawfully and respect the rights of others. You must not:

  • Commit fraud, impersonate others or misrepresent your identity or authority.
  • Send unlawful spam, threats, harassment or deceptive communications.
  • Provide content or instructions that unlawfully infringe intellectual-property, privacy or other rights.
  • Access accounts, systems or information without authorization.
  • Introduce malware, interfere with security or disrupt the Services.
  • Circumvent access controls, usage limits or permission requirements.
  • Scrape or extract information through unauthorized automated means.
  • Copy or redistribute the Services or remove proprietary notices without permission.
  • Reverse engineer the Services except where applicable law permits it.
  • Use the Services to facilitate unlawful activity or evade applicable third-party restrictions.

We may investigate misuse and take appropriate action under these Terms. Failure to enforce a restriction in a particular case does not waive it or create a right for others to demand enforcement.

10. Free access and paid plans

Access is free until you choose a paid plan. Signing up or using free access does not itself create a payment obligation.

Before charging you for a paid plan, we will clearly disclose its price, billing period and applicable terms and obtain your explicit selection and acceptance.

Any renewal, cancellation, refund, usage-limit or other payment conditions will be presented with the relevant paid offering. These Terms do not by themselves enroll you in a subscription or authorize automatic charges.

11. Privacy and feedback

Our Privacy Policy explains how we collect, use, disclose and retain personal information.

These Terms do not replace any notice, consent or authorization required by applicable law or a connected service.

If you voluntarily provide ideas or suggestions about improving the Services (“Feedback”), you permit us to use that Feedback for any lawful purpose without payment or attribution.

That permission applies to the ideas and suggestions themselves. It does not transfer ownership of Your Content, authorize disclosure of confidential customer materials or override our Privacy Policy or applicable restrictions on personal information.

12. Changes to the Services, suspension and termination

We may modify, suspend or discontinue all or part of the Services, or restrict or terminate access, at any time, subject to applicable law and any separately accepted paid-service terms.

Reasons may include misuse, breach of these Terms, security concerns, legal requirements or changes to our business or Services. Urgent action may be taken without advance notice.

You may stop using the Services at any time. Contact support@creatorauro.com to request account closure or deletion.

Subject to applicable law and Sections 14 and 15, modification, suspension or discontinuation does not itself constitute a breach of these Terms, and we are not responsible for resulting inability to access or use the Services.

Account closure, retention and deletion are handled under our Privacy Policy and applicable law. Account deletion includes saved personal information and files, subject to specific legal-retention requirements.

Termination does not erase obligations or claims that arose before termination. Provisions that reasonably need to continue survive, including ownership, accrued obligations, Feedback permissions, indemnification, disclaimers, liability limits, releases, dispute resolution and general terms. Permissions concerning Your Content remain limited by Section 6.

13. Indemnification

To the extent permitted by law, you will indemnify and hold harmless CreatorAuro and its affiliates, officers, directors, employees and agents (collectively, the “CreatorAuro Parties”) against third-party claims, liabilities, damages and reasonable associated costs, including reasonable legal costs, to the extent caused by:

  • Your unlawful conduct.
  • Your breach of these Terms.
  • Your infringement or misappropriation of another person’s rights.

This obligation does not cover amounts attributable to a CreatorAuro Party’s own wrongdoing and does not limit nonwaivable rights or remedies.

We will promptly notify you of a claim and reasonably cooperate with its defense. Delayed notice reduces your obligations only to the extent it materially prejudices the defense.

You may control the defense using qualified counsel reasonably acceptable to us. You may not agree to a settlement that imposes obligations or admissions on a CreatorAuro Party without its written consent. We may participate through separate counsel at our own expense.

14. Disclaimers and limitation of liability

Service disclaimers

To the fullest extent permitted by applicable law, the Services are provided “as is” and “as available,” without express or implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title and noninfringement.

We do not guarantee uninterrupted or error-free operation, complete security, the accuracy of every result, or any particular business opportunity, revenue, deal, payment or other outcome.

Excluded damages

To the fullest extent permitted by applicable law, the CreatorAuro Parties will not be liable for indirect, consequential, incidental, special, exemplary or punitive damages, including resulting lost profits, business opportunities or goodwill, arising from these Terms or the Services.

Total liability cap

To the fullest extent permitted by applicable law, the total aggregate liability of all CreatorAuro Parties arising from or relating to these Terms or the Services, regardless of the legal basis of the claims, will not exceed US$20 in total.

This is a combined aggregate limit, not a separate limit per claim, incident or CreatorAuro Party.

Exceptions

The disclaimers, exclusions and limitations in this section do not limit or exclude liability for:

  • Personal injury, death or property damage caused by the Services.
  • Gross negligence, fraud, or intentional, willful, malicious or reckless misconduct.
  • Any liability, right or remedy that applicable law does not permit to be disclaimed, limited or excluded.

15. Release of claims involving users and third parties

To the fullest extent permitted by applicable law, you release the CreatorAuro Parties from claims, demands, liabilities and damages, whether known or unknown, arising from or relating to disputes between users or the acts or omissions of third parties, including claims alleging ordinary negligence to the extent such claims may lawfully be released.

For this release, you expressly waive the protection of California Civil Code Section 1542 and comparable laws, to the extent those protections may lawfully be waived.

You understand that Section 1542 generally protects claims you do not know or suspect to exist in your favor when giving a release and that, if known, would have materially affected your settlement with the released party. You intend this release to include such unknown claims within the scope described above, even if you later discover additional facts.

This release does not extend to personal injury, death or property damage caused by the Services; gross negligence, fraud, or intentional, willful, malicious or reckless misconduct; or any claim, liability, right or remedy that applicable law does not permit to be released or waived.

This release is separate from your indemnification obligations under Section 13.

16. Dispute resolution and binding arbitration

A. Try to resolve the dispute directly

Before starting arbitration, you and CreatorAuro agree to try in good faith to resolve the dispute directly for 30 days after receiving written notice.

Send your notice to support@creatorauro.com or the mailing address in Section 20. Include your name, account email, contact address, a description of the dispute and the resolution you seek. We will send a comparable notice using your account contact information.

Applicable claim-filing deadlines, including Section 16.G, are paused during this 30-day period to the extent permitted by law.

This process does not prevent eligible small claims proceedings, government complaints or urgent court relief permitted below.

B. Individual binding arbitration

Unless you opt out under Section 16.F, disputes arising from or relating to these Terms or the Services that remain unresolved after the informal-resolution period will be resolved through individual, binding arbitration administered by JAMS, except for the court exceptions below.

Arbitration will take place before one neutral arbitrator under the JAMS Streamlined Arbitration Rules and Procedures, subject to applicable JAMS requirements and law. The JAMS Consumer Minimum Standards apply where the dispute qualifies for those protections. Rules and filing information are available at www.jamsadr.com.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement to the fullest extent applicable.

For covered claims, you and CreatorAuro waive a court trial before a judge or jury. Judicial review of an arbitration award is limited.

Except for matters that applicable law requires a court to decide, the arbitrator has authority to decide procedural and substantive issues, including the interpretation, scope, applicability and enforceability of this arbitration agreement. A court decides whether an arbitration agreement was formed.

The arbitrator may award remedies available under applicable law and will issue a written decision explaining the essential findings and conclusions.

C. Location and fees

Arbitration will take place in Santa Clara County, California, unless the parties agree otherwise or applicable law or JAMS requirements require another location or procedure. The parties may agree to remote proceedings or written submissions where permitted. Location must not prevent meaningful access to arbitration.

For arbitration you initiate, you pay the applicable filing fee and CreatorAuro pays the remaining JAMS administrative and arbitrator fees. For qualifying consumer disputes, your required JAMS fee will not exceed US$250 or any lower amount required by applicable rules or law.

For arbitration CreatorAuro initiates, CreatorAuro pays all JAMS administrative and arbitrator fees.

Each party pays its own legal expenses unless applicable law or a lawful award provides otherwise. No fee provision removes a mandatory protection or requires an unlawful payment.

D. Individual claims and court exceptions

To the extent permitted by law, covered claims must proceed individually, rather than as class, collective or representative proceedings. The arbitrator may not combine different parties’ claims or preside over a class or representative proceeding without the parties’ agreement.

Either party may:

  • Bring an eligible individual claim in small claims court with jurisdiction, including an eligible court where you reside.
  • Seek court relief concerning alleged infringement or misuse of intellectual-property rights.
  • Seek temporary court relief necessary to protect rights while arbitration is pending.

Nothing prevents complaints to government agencies or relief that applicable law requires to remain available, including qualifying public injunctive relief.

If a claim or remedy cannot lawfully be arbitrated, it may proceed in a competent court while other covered claims remain subject to arbitration. Any stay of court proceedings remains subject to applicable law.

E. Confidentiality

You, CreatorAuro and the arbitrator will maintain the confidentiality of arbitration proceedings and materials, subject to applicable law.

This does not prevent disclosures reasonably necessary to obtain advice, prepare or conduct the arbitration, protect legal rights, seek court relief, challenge or enforce an award, comply with legal requirements, or communicate with government authorities. The arbitrator may issue appropriate protective orders.

F. Your 30-day right to opt out

You may opt out of arbitration by emailing support@creatorauro.com within 30 days after first accepting these Terms.

Include your name, account email and a clear statement that you opt out of arbitration.

Opting out is free and does not affect your access to the Services. A valid opt-out removes the arbitration requirement and associated class-action waiver for both you and CreatorAuro. The rest of these Terms continues to apply.

Later updates do not cancel a valid opt-out.

G. One-year claim-filing deadline

To the fullest extent permitted by applicable law, either party must file any claim arising from or relating to these Terms or the Services within one year after the claim accrues. Otherwise, the claim is barred.

This contractual deadline does not apply where applicable law prohibits shortening the filing period or requires a longer period. All applicable tolling rules remain available, including the pause during the informal-resolution period in Section 16.A.

This provision does not restrict protected government complaints or eliminate applicable small-claims rights, mandatory remedies or nonwaivable rights.

17. Governing law and courts

California law governs these Terms and disputes arising from the Services, excluding conflict-of-law rules, except to the extent federal law controls. The Federal Arbitration Act governs the arbitration agreement as described above.

Subject to Section 16 and applicable law, disputes permitted to proceed in court will be resolved exclusively in the state or federal courts located in Santa Clara County, California. You and CreatorAuro consent to those courts’ jurisdiction.

This does not prevent eligible small claims proceedings in another court with jurisdiction or remove mandatory rights concerning governing law, jurisdiction or venue.

Judgment on an arbitration award may be entered in any court with jurisdiction. Proceedings concerning an award otherwise remain subject to this section and applicable law.

18. Changes to these Terms

We may update these Terms from time to time.

We will revise the last-updated date and provide notice of changes through the Services, by email or by another appropriate method. Changes take effect on the stated effective date, subject to any notice or acceptance required by applicable law.

Where legally permitted, continued use after the effective date constitutes acceptance. Where affirmative acceptance is required, we will obtain it. If you do not agree, stop using the Services.

Changes do not retroactively alter the terms governing an existing dispute or cancel a valid arbitration opt-out.

19. General terms and California consumer notice

These Terms, together with additional terms you expressly accept for a particular offering, form the agreement between you and CreatorAuro concerning the Services. A separate signed agreement controls where it expressly overrides these Terms.

If a provision is unlawful or unenforceable, it will be limited or removed to the minimum extent necessary. The remaining provisions continue to apply to the extent legally permitted.

A failure or delay in enforcing a provision does not waive the right to enforce it later.

You may not transfer, assign or delegate these Terms or your rights or obligations without our prior written consent. We may transfer, assign or delegate these Terms or the Services without your prior consent, subject to applicable law, our Privacy Policy and restrictions governing information we process. Assignment does not independently authorize new uses or disclosures of personal information.

These Terms do not create third-party beneficiary rights except for the protections expressly provided to the CreatorAuro Parties. Communications and transactions between you and CreatorAuro may be conducted electronically, subject to applicable law.

Nothing in these Terms removes rights or remedies that applicable law does not permit you to waive.

California consumer notice: Under California Civil Code Section 1789.3, California consumers may contact the California Department of Consumer Affairs for consumer assistance or complaints. Its Consumer Information Center can be reached at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or (800) 952-5210. Current contact information is available on the Department’s contact page.
